The core difference is the licence. A Free Zone licence ties your company to one free zone authority and its permitted activities, while a Mainland licence is issued by the emirate’s economic authority and is aimed at doing business with the wider local market. Which one fits depends on what you sell, to whom, and where you need an office. The rules on how far each licence reaches have been changing, so confirm the current position on the official pages before you choose.
The core difference: licence scope and permitted activity
Every company in Dubai operates under a licence that lists what it may do. Free zones are separate jurisdictions with their own authority, and each licence is issued for the activities that zone allows. A mainland company is licensed through the emirate’s economic department, which for Dubai is the Dubai Department of Economy and Tourism. The federal government’s business setup pages on u.ae give a neutral overview of both routes.
| Question | Free Zone | Mainland |
|---|---|---|
| Who issues the licence? | The authority of the free zone | The emirate’s economic department |
| What defines the scope? | Activities permitted by the zone | Activities listed on the licence |
| Trading with the local market | Often needs extra steps or a partner | Generally the intended purpose |
| Office or address | Set by the zone’s own rules | Set by the licensing authority |
| Where to read the rules | The zone’s own website | Department of Economy and Tourism |
Treat the table as a starting frame, not a ruling. Wording on licences also differs between sources, so read the licence conditions themselves, not a marketing summary. Individual free zones differ from each other, and we do not name or rank any specific zone in this article.
Free Zone limits to watch
People often choose a free zone because the setup is organized around foreign owners. The points to check are the activity list on the licence, any limits on selling to customers located in the UAE outside the zone, and what the zone requires in terms of address. If your customers are mostly abroad, such as online sellers, consultants or software teams invoicing clients overseas, a free zone is often where the conversation starts. If your customers are inside the UAE, the question of how a free zone company may serve them becomes central, and the answer depends on the current rules.
When Mainland comes up
Mainland comes up when you want to sell to customers inside the UAE, tender for local contracts, or open a shop or office that deals directly with the public. The licence activity must match what you actually do, and some activities need approval from a further authority. Ask the licensing authority what your activity requires before you plan around it.
Office and address requirements
Each licence type comes with some rule about a physical or registered address. Free zones commonly offer their own arrangements, and a mainland licence normally needs a leased address that satisfies the authority. Apex Global World’s current pricing page lists an office address as an additional service for Dubai, so check there what is offered and under which terms. Whether a given arrangement satisfies your chosen authority is the authority’s decision, not ours.
Visa and Emirates ID: forming a company is not a residency guarantee
Many founders ask about residence first. Our Dubai company formation services page mentions that a residence visa process with an Emirates ID can be started where it is needed. Whether a visa is granted, and on what conditions, is decided by the UAE authorities. A company does not by itself entitle anyone to residency, and we do not promise a visa. Check the official requirements on u.ae and ask the authority that issues your licence. If a visa matters for your plans, ask about it before you pay for anything, and write down the answer you receive.
Why licence and registration fees are a separate line
On our pricing page the Dubai package is a Free Zone package, and the page states that Dubai licence and registration fees are not included in the package price. This is common: authority fees are set and collected by the zone or department, and can differ by activity and licence type. Ask for the authority’s fee schedule in writing, and compare it with the service fee separately. Please do not compare totals without checking that both include the same items.
Decision questions
- Where are most of my customers: abroad, inside the UAE, or both?
- Which exact activity will appear on the licence, and is it allowed in the zone I am considering?
- Do I need a physical office, or does a registered address meet the rule?
- Do I need a residence visa, and who will sponsor it?
- Which bank will I use, and what does it ask from a company of this type? A licence does not guarantee a bank account.
- How will the company be taxed in the UAE and in my country of residence?
Tax questions belong with a qualified accountant. You can also read the UAE Ministry of Finance corporate tax page for the official framework, and see our overview of UAE corporate tax and VAT for Dubai companies.
Frequently asked questions
Can a foreigner open a company in Dubai?
Foreign founders do set up companies in the UAE, under the rules of the licensing authority. Ownership rules and requirements depend on the licence type and activity, so check them with the authority.
Is a Free Zone company always cheaper than Mainland?
We cannot say. Costs depend on the authority, the activity and the office arrangement. Compare written fee schedules for the same scope.
Does forming a company give me a UAE visa?
No. It can be the basis for a visa application, but the authorities decide. We do not guarantee visas or bank accounts.
Which is better for an online seller?
It depends on where your customers are and what the licence allows. Use the decision questions above and take the result to an advisor.
